SK hynix bought existing Penguin Solutions preferred shares from an SK Telecom investment vehicle. The deal brings director nomination rights and a convertible stake in an existing AI infrastructure partner, while sending the purchase price to the seller.
SK hynix paid $377.2 million for existing convertible preferred shares representing 9.1% beneficial ownership.
The purchase transfers investor rights, including conditional director nominations, alongside restrictions on takeover activity.
SK hynix and Penguin already had an AI data center collaboration before the ownership change.
SK hynix, the South Korean memory-chip supplier, paid $377,162,666 in cash for a convertible preferred position in Penguin Solutions, which designs, builds and manages data centers. The October 29 transaction gives SK hynix a reported 9.1% beneficial stake and director nomination rights in an existing AI infrastructure partner.
The money went to Astra AI Infra LLC, the selling investment vehicle, according to the Schedule 13D signed November 3. That distinction matters: the transaction changes the owner of an existing investment rather than delivering $377.2 million in fresh capital to Penguin.
Penguin shares were up 10.93% at $52.69 at the time of a Tuesday market report. That was an intraday observation, not a closing price.
The same report said Penguin announced Tuesday that it would demonstrate its AI infrastructure platform at SC26 later this month, spanning software, accelerated computing systems, memory and operational services. The share-price move alone does not establish how much either announcement contributed.

What the purchase price buys
The filing says SHIFTIX1 LLC purchased 200,000 preferred shares under a July 27 agreement. SHIFTIX1 is indirectly wholly owned by HYAICO Corporation, formerly SK hynix NAND Product Solutions Corp.; HYAICO is majority owned by SK hynix. SK hynix has the sole power to cause voting and disposition of the reported holdings through that chain.
Google plans to switch off Gemini and Search for school-managed K–12 student accounts unless administrators enable them. Schools will gain control over access, but Google says keeping Search without its AI features will not be an option.
The preferred shares were convertible into 6,096,103 common shares as of October 29, using a $200 million accumulated stated value and a conversion price of $32.80784. The reported 9.1% uses a denominator comprising 60,616,641 common shares outstanding as of October 26 plus those potential conversion shares. It therefore describes beneficial ownership including convertible shares, rather than a purchase of 9.1% of the common shares already outstanding.
The securities carry a 6% cumulative annual dividend, payable quarterly in cash or in kind at Penguin's option, subject to conditions. Conversion remains subject to adjustments and a share issuance limitation.
Astra was formed for the original investment by SK Telecom, the mobile telecommunications company expanding into AI infrastructure. Penguin's December 2024 closing announcement recorded the issuance of 200,000 preferred shares for $200 million in gross proceeds. Penguin then said it intended to use the proceeds to expand its AI infrastructure offerings and financial flexibility; SK Telecom's designee also joined its board.
The new purchase price is approximately 88.6% above that original cash investment, calculated by dividing $377.16 million by $200 million and subtracting one. This price comparison excludes dividends and other costs; it is not a calculation of the seller's total investment return.
Governance rights within an existing partnership
The transferred investor agreement gives the holders the right to nominate one director, or two if Penguin's board has at least 12 members. Those rights continue while the holders and their affiliates retain the specified securities representing at least 5% of outstanding common stock. Nominees must meet Penguin's director qualifications.
The agreement also provides rights to participate in new securities offerings to maintain ownership on a fully diluted basis, registration and information rights, and certain consent rights over indebtedness. These provisions give the investment influence beyond its percentage ownership.
That influence comes with constraints. A standstill restricts unsolicited takeover offers, proxy solicitation and unapproved director nominations, among other actions, unless waived. During the standstill, holders must vote securities they are entitled to vote in accordance with the recommendation of a board majority.

Why the partners were already working together
Penguin brings experience operating computing infrastructure as well as supplying it. In a March 2025 announcement, the company described more than 25 years of advanced-computing experience and more than 85,000 graphics processing units deployed and managed. Those were company-reported figures at that time, rather than a current deployment count.
SK hynix supplies DRAM and NAND flash memory. In its January 2025 announcement, it said it had agreed with SK Telecom and Penguin to pursue joint research, development and commercialization of AI data center solutions. SK hynix identified next-generation data center memory and stronger high-bandwidth memory competitiveness as objectives, with power efficiency and heat dissipation among the challenges.
Penguin's account of that agreement described combining its cluster-management software with SK Telecom's infrastructure-management software to simplify installation, deployment and optimization. It also said SK hynix and SMART Modular Technologies, Penguin's memory product brand, planned to develop memory solutions for accelerated computing. These were proposed benefits and development plans, rather than demonstrated cost savings or performance gains.
The purchase adds an ownership position and contractual rights to that existing collaboration. The filing does not establish a new commercial supply commitment or quantify revenue resulting from the transfer.
The next decisions concern representation and conversion
The filing establishes nomination rights, rather than announcing a new director appointment. It also leaves the preferred shares convertible at the holders' election; the actual common-share count on conversion can change under the security's terms.
The timing of Penguin's own conversion option needs clarification. The 2024 announcement described an option beginning after the second anniversary of the investment's closing, subject to a share-price test. The new filing instead refers to the second anniversary of December 13, 2026. Both require the volume-weighted average share price over 15 consecutive trading days to reach at least 150% of the applicable conversion price; the documents do not reconcile their different timing descriptions.
SK hynix and the other reporting entities said they had no present plans beyond the disclosed arrangements for additional acquisitions, a merger or changes to Penguin's business or management, while reserving the ability to change their intentions. Director nominations and conversion disclosures will determine how the contractual rights translate into representation and common-share ownership. Commercial agreements and measured deployment results would be needed to establish whether the ownership change delivers additional business or better infrastructure economics.
